Terms of Use

Plain-language summary & notice. This document describes how WCA Transportations LLC. operates and your rights. It is written to be read, not to be legalese — but it is a legal document. It is provided for information and is not legal advice; for advice about your specific situation, consult a licensed attorney. We review these terms with counsel and update them as the platform evolves.

1. Agreement to these terms

By creating an account or using the WCA QuickShip platform (the "Service"), operated by WCA Transportations LLC, doing business as WCA QuickShip ("WCA", "we", "us"), you agree to these Terms of Use. If you are using the Service for a company, you represent that you are authorized to bind that company.

2. Software vendor and customer responsibilities

WCA provides QuickShip freight software by subscription to carriers, brokers and shipping companies. Each customer operates its own workspace and remains in control of freight decisions and counterparties.

  • Customers arrange their own transportation, source and negotiate their own loads, and choose their own carriers. The software provides records and workflow tools and does not make those decisions.
  • The software applies FMCSA and equipment eligibility checks to carrier booking access. Those checks do not select or recommend among eligible carriers; the shipper or broker makes that choice.
  • Shippers post their own loads; carriers may independently choose to self-book from an open board.
  • Customers make all counterparty choices and enter freight agreements directly with each other.
  • WCA receives subscription revenue as the software vendor, unrelated to whether a load moves.
  • Freight payment arrangements are made directly between customers and their counterparties or payment providers. They are separate from the WCA software subscription.

This describes product functionality and is not a legal opinion about any user's transportation activity or regulatory status. Customers remain responsible for their own compliance and agreements.

3. Rate estimates are estimates — not quotes

Any rate figure the Service shows is an estimated fair range with a confidence band, not a quote, offer, or guarantee. Estimates are generated from public signals (distance, diesel prices, seasonality, day of week, lane balance) and improve as real booking data accumulates. The final decision to accept any load or rate is yours. We make no warranty as to freight availability, revenue, or that any broker or shipper will pay.

4. Carrier responsibilities

If you use the Service as a carrier, you agree that you will:

  • Maintain active FMCSA operating authority and full compliance with applicable law, including safety standards and Hours of Service (49 C.F.R. Part 395).
  • Maintain insurance at least equal to: Commercial General Liability $1,000,000 per occurrence; Auto Liability $1,000,000 ($5,000,000 for hazmat); Cargo $100,000 per shipment; and statutory Workers' Compensation.
  • Retain exclusive control over your vehicles, drivers, and equipment, and remain solely responsible for operations, maintenance, fuel, taxes, and driver pay.
  • Accept or reject each load yourself — no load is ever booked on your behalf without your explicit acceptance.
  • Never double-broker or re-assign a load sourced through the Service.

5. Shipper responsibilities

  • Provide accurate load, commodity, and location information.
  • Not post loads you do not intend or are not authorized to ship.
  • Review available carrier information and make your own shipping and selection decisions. The software does not recommend a carrier to a shipper.

6. Fees and funds flow

WCA's compensation is a flat subscription fee for access to the software, billed in advance on a monthly or annual term and charged separately from any freight transaction. Carrier subscriptions are billed per power unit on the carrier's FMCSA record; broker subscriptions are billed per company. Current amounts are published at /pricing and apply from the start of the next billing term after any change.

WCA charges no per-load or per-transaction fee, margin, spread or percentage of freight. Freight charges are not WCA revenue and are not collected or routed by WCA.

Paid plans begin with a 30-day trial that requires a payment method. No charge is made during the trial. Cancel from Billing before the trial end date to avoid the first charge. A paid subscription cancelled after the trial remains available through the current billing period; WCA does not pro-rate a partial month.

Automatic renewal. After any trial, your subscription renews automatically at the end of each term — monthly for monthly plans, yearly for annual plans — and the recurring charge continues at the then-current price published at /pricing until you cancel. We charge the payment method on file at the start of each new term. You can cancel at any time from the Billing area of your account, by yourself, without contacting support; cancellation stops all future renewals (immediately during a trial, and at the end of the current paid period otherwise). We will tell you about any price change before it takes effect at your next renewal.

7. Public information and customer review

The software may retrieve and display public FMCSA facts with their source and retrieval time and apply documented FMCSA eligibility rules to booking access. Facts may be incomplete or change; they are not a guarantee or recommendation. Customers must make their own assessments and carrier choices.

8. Acceptable use

  • Do not misrepresent your identity, authority, or insurance.
  • Do not attempt to divert payments, tamper with records, or circumvent verification.
  • Do not scrape, overload, or interfere with the Service.

9. Electronic agreements

You consent to transact electronically under the federal ESIGN Act (15 U.S.C. § 7001) and the Uniform Electronic Transactions Act (UETA). Electronic signatures and the platform's audit trail are the legal equivalent of handwritten signatures.

10. Disclaimers & limitation of liability

The Service is provided "as is." To the fullest extent permitted by law, WCA disclaims implied warranties and is not liable for indirect, incidental, consequential, special, or punitive damages. WCA's total liability for direct damages will not exceed the subscription fees you paid in the thirty (30) days before the event giving rise to the claim.

11. Indemnification

Carriers agree to defend and indemnify WCA and its officers, employees, and agents from claims arising out of the carrier's transportation services, violations of motor-carrier or Hours-of-Service law, driver negligence, or breach of these terms.

12. Governing law & venue

These terms are governed by the laws of the State of Minnesota and applicable federal transportation law, without regard to conflict-of-laws principles. Exclusive venue is the state and federal courts in Hennepin County, Minnesota.

13. Changes & termination

We may update these terms; we will post changes here with a new date and, for material changes, provide additional notice. We may suspend or terminate access for violation of these terms or where required to protect the platform.
